(NYSE:AHS) today announced a public offering of 9,250,000 shares of common stock pursuant to its currently effective shelf registration statement. All of the 9,250,000 shares are offered by affiliates of Haas Wheat & Partners, L.P., a private equity investment firm whose affiliates have owned shares of the company since 1999. The selling stockholders have also granted the underwriters a 30-day option to purchase an additional 1,381,303 shares. The shares being sold in the public offering, including shares to be sold pursuant to the option, represent all of the shares owned by the affiliates of Haas Wheat & Partners, L.P.
Neither the company nor management has registered for sale any of their shares of common stock pursuant to the registration statement. Accordingly, the company and management will not receive any proceeds from the public offering.
